| Abstract | Every listed company in Hong Kong is required since 31 December 2012 to have at least one third of its board of directors be independent directors, up from the requirement of three independent directors before. But does independent director system work in Hong Kong? What does the evidence tell us? This paper will examine the role that independent directors play in HK listed companies, particularly companies that have controlling shareholders which are prevalent in Hong Kong and the challenges that these directors face. |
