Objectives
1) To investigate the equilibrium relationship between the optimal board composition and the efficiency of the board’s CEO retention decision, which is measured by the expected total cost of undue CEO replacement and retention in our model; 2) To draw testable implications on how the optimal board composition, probabilities of accounting misstatements and CEO replacement (retention) despite having a good (bad) accounting report are related to firm, industry and market characteristics.
