To identify future directions for Hong Kong company law using a comparative study of United Kingdom., French and Germany company law. In particular to analyse the current reforms on ultra vires and the protection of creditors in ""modern"" company law th eory and to provide a theoretical framework for the protection of creditors in Hong Kong company law.
